Abstract

NVDR is an effective financial instrument to increase the attraction offoreign investment without violating regulations on foreign investors's ownershiprestriction in public companies while preventing foreign investors from usurpingdomestic companies. However, the existing legal regulations of Vietnam only make anidentification about NVDR, there is no legal framework for NVDR. Therefore, the articlefocuses on the following issues: (1) Analyzing and clarifying the need to build andimprove the law on NVDR in Vietnam; (2) Proposing specific recommendations on thecontents of the law adjustment of NVDR in Vietnam.
