Abstract

Quasi-contract is a legal concept in the Common Law system, designed toresolve situations in which one party receives a benefit from another without theexistence of a formal contract. In Vietnam, this concept is not explicitly recognised;however, the 2015 Civil Code contains provisions with comparable functions,particularly regarding restitution and non-contractual compensation. This articleanalyzes the concept of quasi-contract in the English legal system and compares it withanalogous provisions in Vietnamese law, thereby clarifying the similarities anddifferences between the two legal frameworks.Keywords: Quasi-contract, restitution, non-contractual compensation.
